• Ensure the company complies with applicable corporate laws, rules, and regulations ( Companies Act, SEBI
regulations).
• Maintain and update statutory registers and records.
• File necessary documents and returns with government bodies like the Registrar of Companies (ROC).
• Advise the board on their legal and corporate responsibilities.
?? Board & Committee Support:
• Organize and coordinate board, committee, and shareholder meetings.
• Prepare meeting agendas, take minutes, and ensure timely distribution of documents.
• Maintain records of board decisions and resolutions.
?? Corporate Affairs:
• Draft, review, and manage corporate legal documents ( MOA, AOA, resolutions, contracts).
• Handle matters related to share issuance, dividend distribution, and share transfers.
• Assist with mergers, acquisitions, and restructuring activities.
?? Liaison & Communication:
• Act as the point of contact between the company and regulatory authorities (SEBI, Stock Exchanges, MCA,
etc.).
• Communicate with shareholders, investors, and stakeholders on behalf of the company.
• Ensure timely disclosures and compliance with stock exchange requirements (for listed companies).
